License

BY UTILIZING THIS PROGRAM, YOU AGREE TO BECOME BOUND BY THE TERMS AND CONDITIONS OF THIS LICENSE.  IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS SETFORTH BELOW, DO NOT USE THIS PROGRAM OR ANY PORTION THEREOF IN ANY FORM OR MANNER.

 

User agrees to provide any non-classified bug fixes or corrections to GTRC.

GTRC shall have the right to terminate this Agreement and/or License without cause at any time. 

Grant of License:

THIS PROGRAM is licensed, NOT SOLD to you (“User”), by GEORGIA TECH RESEARCH CORPORATION (“GTRC”), owner of all rights and title to the SABRE2 code and accompanying documentation (“Program”) and Tutorial for use under the terms and conditions of this License.  As such, GTRC reserves any and all rights not expressly granted to User under this License.  With respect to the Program to which GTRC has exclusionary rights, GTRC hereby grants to User a nontransferable, non-exclusive license to use the Program for User’s own purposes only under the following terms and conditions:

 

a. The Program and Tutorial are for your personal use only.

b. The Program and Tutorial are for educational use only.

c. The Program may be copied to a computer hard drive for usage.

d. A backup copy or copies may be made only as expressly permitted by this Agreement.

f. User may not make or distribute unauthorized copies of the Program or Tutorial, recompile, translate or convert P-files for use with any other numerical analysis software program, create by decompilation, reverse engineering, or disassembly the P-files of the Program or use, copy, modify, or transfer the Program, in whole or in part, or Tutorial, except as expressly permitted by this Agreement.  If you transfer possession of any copy or modification of the Program to any third party, your license is automatically terminated. Such termination shall be in addition to and not in lieu of any equitable, civil, or other remedies available to the Developers.

Term:

This License Agreement is effective until terminated.  You may terminate it at any time by destroying the Program and Tutorial together with all copies made (with or without authorization). This Agreement will also terminate upon the conditions discussed elsewhere in this Agreement, or if you fail to comply with any term or condition of this Agreement.  Upon such termination, you agree to destroy the Program, Tutorial, and any copies made (with or without authorization) of either.

 

Developers' Rights:

You acknowledge that all rights (including without limitation, copyrights, patents and trade secrets) in the Program (including without limitation, the structure, sequence, organization, flow, logic, source code, object code and all means and forms of operation of the Licensed Program) are the sole and exclusive property of GTRC.  By accepting this Agreement, you do not become the owner of the Program, but you do have the right to use it in accordance with the provisions of this Agreement.  You agree to protect the Program from unauthorized use, reproduction, or distribution.  You further acknowledge that the Program contains valuable trade secrets and confidential information belonging to GTRC.  You may not disclose any component of the Licensed Program, whether or not in machine readable form, except as expressly provided in this Agreement.

Export Law Assurance.

You agree that the Software will not be shipped, transferred or exported, directly into any country prohibited by the United States Export Administration Act and the regulations thereunder nor will be used for any purpose prohibited by the Act.

Disclaimer of Warranties and Limitation on Liability.

YOU ACCEPT THE PROGRAM ON AN "AS IS" BASIS.  GTRC MAKES NO WARRANTY THAT ALL ERRORS CAN BE OR HAVE BEEN ELIMINATED FROM PROGRAM.  GTRC SHALL NOT BE RESPONSIBLE FOR LOSSES OF ANY KIND RESULTING FROM THE USE OF PROGRAM AND ITS ACCOMPANYING DOCUMENT(S), AND CAN IN NO WAY PROVIDE COMPENSATION FOR ANY LOSSES SUSTAINED, INCLUDING BUT NOT LIMITED TO ANY OBLIGATION, LIABILITY, RIGHT, CLAIM OR REMEDY FOR TORT, OR FOR ANY ACTUAL OR ALLEGED INFRINGEMENT OF PATENTS, COPYRIGHTS, TRADE SECRETS, OR SIMILAR RIGHTS OF THIRD PARTIES, NOR ANY BUSINESS EXPENSE, MACHINE DOWNTIME OR DAMAGES CAUSED TO YOU BY ANY DEFICIENCY, DEFECT OR ERROR IN PROGRAM OR MALFUNCTION THEREOF, NOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED.  GTRC DISCLAIMS ALL WARRANTIES, BOTH EXPRESS AND IMPLIED RESPECTING THE USE AND OPERATION OF PROGRAM AND ITS ACCOMPANYING DOCUMENTATION, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE AND ANY IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE.  GTRC MAKES NO WARRANTY THAT PROGRAM IS ADEQUATELY OR COMPLETELY DESCRIBED IN, OR BEHAVES IN ACCORDANCE WITH ANY ACCOMPANYING DOCUMENTATION.  THE USER OF PROGRAM IS EXPECTED TO MAKE THE FINAL EVALUATION OF PROGRAM'S USEFULNESS IN USER'S OWN ENVIRONMENT.

GTRC represents that, to the best of its knowledge, the software furnished hereunder does not infringe any copyright or patent.

GTRC shall have no obligation for support or maintenance of Program.

THE SOFTWARE AND ACCOMPANYING DOCUMENTATION ARE COPYRIGHTED WITH ALL RIGHTS RESERVED BY GTRC.  UNDER UNITED STATES COPYRIGHT LAWS, THE SOFTWARE AND ITS ACCOMPANYING DOCUMENTATION MAY NOT BE COPIED ACCEPT AS GRANTED HEREIN.

You acknowledge that GTRC is the sole owner of Program, including all copyrights subsisting therein.  Any and all copies or partial copies of Program made by you shall bear the copyright notice set forth below and affixed to the original version or such other notice as GTRC shall designate.  Such notice shall also be affixed to all improvements or enhancements of Program made by you or portions thereof in such a manner and location as to give reasonable notice of GTRC's copyright as set forth in Article 1.

Additional Requests.

                6.1          Please acknowledge the SABRE2 Project at Georgia Tech in any publication, written, videotaped, or otherwise produced, that results from the making programs using it.

                6.2          Please furnish a reference to and preferably a copy of any publication, including videotape, that You produce and disseminate.
